Sub-Committee Members
Catalyst Community Developments Society (“Catalyst” or the “Society”), a not-for-profit real estate developer/owner/operator with approximately 1,400 affordable rental homes and 80,000 sq. ft. of community-serving space currently completed or under development across BC, is seeking experienced professionals to join Catalyst’s committees reporting to the Board.
The Committees are sub-Committees of the Catalyst Board of Directors and responsible for reviewing various aspects of the Society’s ongoing business. We are seeking individuals for each of the finance committee, governance committee and property operations committee.
The responsibilities of the committees generally are as follows:
- Finance committee: Reviewing financial information, including quarterly financial information, cash flow reports, and annual audited financial statements; developing and recommending to the Board policies with respect to financial reporting, budgeting, and planning for capital needs; and reviewing and monitoring compliance with levels of financial authority, including reviewing and recommending financing structures to the Board, among other duties.
- Governance committee: Reviewing policies and procedures of the Society; ensuring programs are in place for director and committee nominations and ongoing professional development; reviewing and recommending to the Board regarding committee, board and President performance, among other duties.
- Property operations committee: Assists the board in fulfilling its oversight responsibilities of operating properties with tenants, including reviewing operating property information, developing and recommending policies and strategic direction with respect to operating properties, and reviewing design guidelines to ensure Catalyst properties are designed with the utmost standards of livability, among other duties.
The Committees are each targeting to add one to two individuals.
We are seeking to have strong (non-Director) Committee Members who may be interested in eventually joining the Board. We are specifically seeking the following skill sets to complement the current Committee composition:
- Finance: a Committee Member with knowledge of real estate project financing (either market or non-market), including experience reviewing financing terms obtained by Catalyst.
- Governance: a Committee Member with legal expertise in the area of real estate transactions and/or significant strategic planning experience.
- Property Operations: a Committee Member with a background in design or operation of family non-profit multifamily housing.
Meetings are held approximately four times a year, typically in the afternoon/evening either over video conference or at Catalyst’s office in Vancouver. In addition to these meetings, decision-specific conference calls are sometimes convened to deal with specific issues that arise between meetings.
